Terms of Service

1. Agreement to Terms

By accessing or using W-One ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform. These Terms apply to all visitors, users, and others who access the Platform.

2. Description of Services

W-One is a multi-tenant workspace management platform that enables operators to list, manage, and monetise workspace resources (desks, offices, meeting rooms, studios, etc.) and allows members to discover, book, and access those spaces. Services include but are not limited to:

• Workspace search and discovery
• Space booking and scheduling
• Corporate quota management and invoicing
• Access control and check-in systems
• Notifications and communication
• Analytics and reporting for operators

3. Eligibility

You must be at least 18 years old to use the Platform. By using W-One, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and are not barred from receiving services under applicable law.

4. User Accounts

When you create an account, you agree to provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activity.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any regulations
• Post false, misleading, or fraudulent content
• Interfere with or disrupt the integrity or performance of the Platform
• Attempt to gain unauthorised access to any part of the Platform
• Scrape, crawl, or harvest data from the Platform without our explicit consent
• Use the Platform to send unsolicited communications (spam)
• Impersonate any person or entity

6. Bookings and Payments

All bookings made through W-One are subject to availability and operator confirmation. By completing a booking, you agree to pay the displayed price including any applicable taxes and fees. Payments are processed securely through our payment provider (Stripe). W-One does not store your full card details.

Operators set their own pricing and availability. W-One acts as a technology intermediary and is not responsible for the quality or safety of individual spaces.

7. Cancellation and Refunds

Cancellation policies are set by individual workspace operators. Please review the cancellation policy for each space before booking. Refunds, where applicable, will be processed to the original payment method within 5–10 business days. W-One's service fees are generally non-refundable.

8. Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of W-One and its licensors. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Content you upload remains yours, but you grant W-One a non-exclusive licence to use it for operating and improving the Platform.

9. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read our Privacy Policy to understand our practices.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. W-One DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, W-ONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

12. Indemnification

You agree to indemnify and hold W-One harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to your violation of these Terms or your use of the Platform.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which W-One operates, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
